Please read these Terms carefully. By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Description of Service

Diatech.ai provides a specialized Generative AI platform designed to assist jewelry professionals in creating, visualizing, and managing jewelry designs and related assets. The Service allows users to input text prompts or images to generate visual representations of jewelry, create marketing materials, collaborate with teams, and render CAD designs with pricing estimates.

2. Eligibility & User Accounts

2.1 Age Requirement

You must be at least 18 years of age to access or use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are accessing the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2.2 Account Registration

To access certain features of the Service, you must register for an account. You agree to:

Provide accurate, current, and complete information during the registration process.
Maintain the security of your password and accept all risks of unauthorized access to your account.
Notify us immediately if you discover or suspect any security breaches related to the Service.
Be responsible for all activities that occur under your account, whether or not authorized by you.

3. Acceptable Use Policy

Diatech.ai is a specialized tool for the jewelry industry. You agree to use the Service solely for its intended purpose.

3.1 Intended Use

You agree to use our AI generation tools and platform features solely for:

Designing jewelry (rings, necklaces, earrings, bracelets, etc.).
Visualizing gemstone and metal textures.
Creating marketing or display assets directly related to the jewelry business.
Collaborating with team members on jewelry design and production projects.
Rendering CAD designs and generating pricing estimates.

3.2 Prohibited Activities

You are strictly prohibited from using the Service to:

Generate Non-Jewelry Content: Create landscapes, portraits, vehicles, animals, or general artwork unrelated to the jewelry domain.
Generate Illegal or Offensive Content: Create content that is sexually explicit, violent, hateful, harassing, infringing on intellectual property, defamatory, or otherwise illegal under applicable law.
Abuse the System: Use automated scripts, bots, or crawlers to access the Service; attempt to reverse-engineer, decompile, or disassemble our underlying models or software; or disrupt, overload, or impair the servers or networks connected to the Service.
Violate Third-Party Rights: Infringe upon the intellectual property, privacy, publicity, or other proprietary rights of any third party.
Circumvent Security: Attempt to gain unauthorized access to any portion of the Service, other user accounts, or any systems or networks connected to the Service.

3.3 Enforcement

We reserve the right to monitor usage and investigate potential violations of these Terms. If we determine that you have violated this Acceptable Use Policy, we may, in our sole discretion, suspend or terminate your account immediately without refund, prior notice, or liability. We may also report violations to appropriate law enforcement authorities.

4. Intellectual Property

4.1 Your Content

You retain ownership of the specific prompts you input and the images generated by the Service using your prompts ("User Content"), subject to your compliance with these Terms and payment of applicable fees. You grant Diatech.ai a worldwide, non-exclusive, royalty-free, fully paid-up license to host, store, process, and display your User Content solely as necessary to provide the Service to you (e.g., storing images in your gallery, processing AI requests, enabling search and collaboration features).

4.2 Our Intellectual Property

Diatech.ai and its licensors own all rights, title, and interest in and to the Service, including but not limited to the software, interface, user experience design, underlying AI models, algorithms, logos, trademarks, and all other proprietary technology and content. You may not copy, modify, distribute, sell, lease, or create derivative works based on our proprietary technology without our express written permission.

4.3 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into our Service without any obligation to you.

5. Artificial Intelligence Disclaimer

You acknowledge that the Service utilizes Generative AI technology. By using the Service, you understand and agree that:

Accuracy and Feasibility: AI-generated images are simulations and artistic representations. We do not guarantee that a generated design can be physically manufactured exactly as depicted (e.g., structural integrity, stone settings, weight distribution, or material properties). You are solely responsible for verifying the technical feasibility, safety, and manufacturability of any design before production.
Uniqueness: Due to the nature of AI and the probabilistic methods used in generative models, it is possible that the Service could generate similar or identical images for other users who provide similar prompts or reference images. We do not guarantee the uniqueness of any generated output.
No Legal Advice: The Service does not provide legal advice regarding the copyrightability, trademark status, patent rights, or any other intellectual property aspects of generated designs. You are solely responsible for ensuring that your use of generated content does not infringe upon the rights of third parties.
Model Limitations: AI models have inherent limitations and may occasionally produce unexpected, inaccurate, or inappropriate results. We continuously work to improve our models, but we cannot guarantee error-free operation.

6. Subscription, Payment, and Refunds

6.1 Fees

Access to the Service may require a subscription or credit purchase. Current fees are described on our pricing page at https://studio.diatech.ai. We reserve the right to modify our fees at any time, with advance notice for existing subscriptions.

6.2 Billing

You agree to provide current, complete, and valid payment method information. If your payment method fails or your account is past due, we may suspend or terminate your access to the Service until payment is received.

6.3 No Refunds

All payments for subscriptions, credits, or other services are final and non-refundable, except as required by applicable law. We do not provide refunds or credits for partial periods of service, unused credits, or any content generated using the Service. By purchasing a subscription or credits, you acknowledge and agree to this no-refund policy.

6.4 Free Trials and Promotions

We may offer free trials or promotional periods from time to time. If you do not cancel before the end of a free trial period, you will be automatically charged for a paid subscription. We reserve the right to modify or terminate free trials or promotions at any time without notice.

7. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DIATECH.AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability, fitness for a particular purpose, and non-infringement.
Warranties that the Service will be uninterrupted, secure, error-free, or free of viruses or other harmful components.
Warranties regarding the accuracy, reliability, quality, or completeness of any content, information, or materials provided through the Service.

No advice or information, whether oral or written, obtained from Diatech.ai or through the Service will create any warranty not expressly stated in these Terms.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIATECH.AI, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION:

Loss of profits, revenue, data, use, or goodwill.
Business interruption or loss of business opportunities.
Cost of procurement of substitute goods or services.
Any damages arising from your access to, use of, or inability to access or use the Service.
Any conduct or content of any third party on the Service.
Any content, information, or materials obtained from the Service.

IN NO EVENT SHALL DIATECH.AI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO DIATECH.AI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100.00), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Diatech.ai, its affiliates, and their respective directors, officers, employees, agents, partners, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

Your access to or use of the Service.
Your violation of these Terms.
Your violation of any rights of any third party, including intellectual property rights, privacy rights, or proprietary rights.
Your User Content or any content you submit, post, or transmit through the Service.
Any use or misuse of designs, images, or other materials generated through the Service, including any claims that such materials infringe third-party rights or are defective when manufactured.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

10. Dispute Resolution and Arbitration

10.1 Informal Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, you agree to first contact us to seek an informal resolution. Please send a detailed description of the dispute to our contact email. We will attempt to resolve the dispute informally within thirty (30) days.

10.2 Binding Arbitration

If the dispute cannot be resolved informally, you agree that any dispute, claim, or controversy shall be resolved by binding arbitration administered by a mutually agreed-upon arbitration body in accordance with its applicable arbitration rules. The arbitration shall be conducted in Surat, Gujarat, India, or at such other location as may be mutually agreed upon by the parties.

10.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

10.4 Exceptions

Notwithstanding the foregoing, either party may seek equitable relief (including injunctive relief) in a court of competent jurisdiction to protect its intellectual property rights or confidential information.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, specifically under the jurisdiction of the courts in Surat, Gujarat, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Surat, Gujarat, India, for any disputes not subject to arbitration as described above.

12. Termination

12.1 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, at our sole discretion, for any reason whatsoever, including but not limited to:

A breach of these Terms.
Violation of the Acceptable Use Policy.
Non-payment of fees.
Fraudulent, abusive, or illegal activity.
Any other conduct that we deem harmful to the Service or other users.

12.2 Termination by You

You may terminate your account at any time by contacting us or using the account closure feature in the Service. Upon termination, your right to use the Service will immediately cease.

12.3 Effect of Termination

Upon termination of your account, you will lose access to your User Content and any data associated with your account. We are not obligated to retain or provide you with copies of your User Content after termination. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification, limitation of liability, and dispute resolution.

13. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes to these Terms, we will notify you by:

Posting the updated Terms on this page with a new "Last Updated" date.
Sending you an email notification to the email address associated with your account (if applicable).
Displaying a prominent notice on the Service when you next log in.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service and terminate your account.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be made enforceable, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Diatech.ai regarding the Service and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding the Service.
