Your Design Data & Ownership

The Licensor recognizes that your jewelry designs represent your creative work and competitive advantage. We want to be completely transparent about how we handle your design data:

You Own Your Designs: You retain full ownership and all intellectual property rights to any designs, images, or content you create or upload to the Platform. We claim no ownership rights to your creative work.
No AI Training: Your designs are never used to train or improve our AI models or any third-party AI systems. Our AI models are trained exclusively on licensed datasets that do not include customer content.
No Sharing with Others: Your designs are never shared with competitors, other users, or any third parties for any purpose. Your work remains private to your account and organization.
Limited Access for Support: Our team can only access your designs when you explicitly share a specific project with us for technical support or debugging purposes. We do not browse or view customer designs otherwise.

Confidentiality and Intellectual Property Protection

This section outlines the contractual obligations governing the protection of your intellectual property and confidential materials when using the Platform.

1. Ownership of Intellectual Property

All jewellery designs, drawings, images, models, specifications, concepts, data, and other materials uploaded, submitted, or otherwise provided by the Licensee (“Confidential Materials”) shall remain the sole and exclusive intellectual property of the Licensee. Nothing in this Agreement shall be construed as transferring or assigning any right, title, or interest in such intellectual property to the Licensor.

2. Permitted Use

The Licensor is granted a limited, non-exclusive, non-transferable right to use the Confidential Materials for the following purposes:

(a) Hosting, storing, processing, and displaying the designs on the Platform;
(b) Creating backups and implementing disaster recovery measures;
(c) Distributing content via content delivery networks (CDNs) to optimize performance;
(d) Performing technical operations including caching, format conversion, and optimization;
(e) Providing technical support and debugging services when explicitly requested by the Licensee or when necessary to maintain platform functionality;
(f) Generating anonymized, non-identifiable analytics on platform usage patterns (excluding analysis of design content itself).

No other use is permitted without prior written consent of the Licensee.

3. Prohibition on Copying and Disclosure

The Licensor shall not, directly or indirectly, copy, reproduce, modify, distribute, transmit, sell, license, publish, disclose, or make available any of the Licensee’s designs or Confidential Materials to any third party, including but not limited to other vendors, partners, affiliates, contractors, or competitors, without the prior written consent of the Licensee.

Notwithstanding the foregoing, the Licensor may:

(a) Create copies necessary for backup, disaster recovery, and system redundancy;
(b) Distribute content via CDNs and caching systems to deliver services to the Licensee;
(c) Perform technical modifications necessary for format conversion, optimization, and platform compatibility;
(d) Share information with third-party service providers (such as cloud hosting and AI service providers) under strict confidentiality agreements, solely to the extent necessary to provide the Platform services;
(e) Disclose information as required by law or court order, provided the Licensor notifies the Licensee promptly unless legally prohibited.

4. Confidentiality and Business Secrecy

The Licensor agrees to maintain strict confidentiality of all Confidential Materials and acknowledges that such materials constitute valuable business secrets and proprietary information of the Licensee. The Licensor shall implement appropriate technical and organizational measures to prevent unauthorized access, use, or disclosure.

5. Non-Compete and Non-Misuse

The Licensor shall not use the Licensee’s designs, whether in whole or in part, for the purpose of developing, promoting, or assisting any competing products, services, or vendors, nor for any internal AI model training, marketing, or commercial exploitation.

6. Survival

The confidentiality obligations under this clause shall survive the termination or expiration of this Agreement for a period of five (5) years, provided that:

(a) The Licensor shall permanently delete all Confidential Materials within thirty (30) days of account termination, except as required for legal compliance or dispute resolution;
(b) Confidential Materials retained for legal compliance shall be securely stored and deleted once the retention requirement expires;
(c) The Licensor's obligation to maintain confidentiality shall continue for the full five (5) year period regardless of deletion.

7. Remedies and Dispute Resolution

(a) In the event of a material breach of this clause, the non-breaching party shall provide written notice to the breaching party, who shall have thirty (30) days to cure such breach.

(b) If the breach is not cured within the cure period, the non-breaching party may seek appropriate remedies including injunctive relief and damages.

(c) The Licensee acknowledges that the Licensor's liability for any breach of confidentiality obligations shall be limited to direct damages actually incurred, and shall not exceed the total fees paid by the Licensee to the Licensor in the twelve (12) months preceding the breach, except in cases of willful misconduct or gross negligence.

(d) Both parties agree to attempt to resolve any disputes through good faith negotiation before pursuing legal remedies.

(e) The Licensor shall not be liable for breaches resulting from: (i) unauthorized access by third parties despite reasonable security measures; (ii) actions required by law or court order; or (iii) access explicitly authorized by the Licensee.

AI Processing & Third-Party Services

The Platform uses advanced AI technology to help you create and refine jewelry designs. Some of our AI capabilities are powered by third-party service providers operating under strict enterprise agreements.

Enterprise-Grade Protection: All third-party AI services we use operate under enterprise-tier agreements that contractually prohibit the use of your data for training, improvement, or any purpose other than providing the requested service.
No Model Training: Neither our internal systems nor any third-party services use your designs, images, or prompts to train or fine-tune AI models. Processing is performed solely to deliver the specific features you request.
Search & Similarity Features: When you use search or recommendation features, we may create mathematical representations of your content to enable these capabilities. These representations are used exclusively for improving your experience within the platform and are never used for training purposes.

How We Use Your Information

We process the information we collect for the following purposes:

Platform Operation: To provide, maintain, and improve the functionality of the Platform, including processing your design requests and delivering AI-generated outputs.
Account Management: To manage your account, authenticate access, and provide customer support when requested.
Usage Analytics: To understand how users interact with our platform (e.g., which features are used, page load times, error rates) to improve performance and user experience. This analytics data is aggregated and does not involve analysis of your design content.
Communication: For direct marketing, sales outreach, product updates, and service-related communications.

What We Do NOT Do:

We do not use your design data to train AI models
We do not share your designs with other users or third parties
We do not analyze your design content for competitive intelligence
We do not sell or transfer your design data to any third party

Business and industry data provided to our customers or partners is subject to restrictive license agreements that limit use to specified purposes and prohibit unauthorized transfer of the information. This does not include your design content.

Image Storage & Content Delivery (CDN)

To ensure optimal performance and speed, the Licensor utilizes a Content Delivery Network (CDN) to store and serve the jewelry images you generate or upload.

URL-Based Access: Each asset is accessible via a unique, non-guessable URL. There is no directory listing or browsing capability that would allow access to other users' content. Only those with the specific URL can view the asset.
Security Measures: The Licensor implements cryptographically secure, non-guessable URLs to prevent unauthorized access and monitors for automated URL enumeration attacks.
Your Responsibility: Anyone with whom you share an image URL will be able to access that content. Please exercise caution when sharing links to your designs, as this grants access to the recipient. We recommend sharing links only with trusted parties. The Licensor is not responsible for access granted by the Licensee through URL sharing.
Global Distribution: To minimize latency, image files may be cached and served from servers located in various geographic regions closest to where you are accessing the platform.
Account Security: While images are served via CDN, access to your account, project management, and all other platform features remain secured and authenticated via our main servers.
On-Premise Deployment: For enterprise clients requiring additional data sovereignty, we offer on-premise deployment options that allow you to host the platform within your own infrastructure, minimizing data that leaves your network. Contact our sales team for more information.

Cookie Policy

Like any other website, the Licensor uses "cookies." These cookies are used to store information including visitors' preferences, and the pages on the website that the visitor accessed or visited. Project Deletion: When you delete a project or design from the Platform, it enters a 30-day recovery window during which you can restore it if needed. After 30 days, the content is permanently deleted from all active systems. Note: Deleted content may persist in encrypted backup systems for up to 90 days for disaster recovery purposes. Backup data is not accessible for normal operations and is automatically purged after the retention period.
Immediate Deletion: If you require immediate permanent deletion of specific content without the recovery window, please contact our support team and we will accommodate your request.
Account Closure: If you close your account, your data will be permanently deleted within 30 days. You may request immediate deletion by contacting support.

Data Access & Security

We maintain strict internal controls to protect the confidentiality of your design data:

Limited Access: Access to customer design data is strictly limited. Our team does not have routine access to view or browse customer designs.
Technical Maintenance: Authorized personnel may access system infrastructure for technical maintenance, security, and operational purposes, but do not routinely view design content.
Support Access: When you contact support and explicitly share a project for troubleshooting, our support team can access that specific project to assist you. We do not access your designs without your explicit permission.
Security Measures: We implement industry-standard security measures including encryption, access controls, and regular security audits to protect your data from unauthorized access.

Data Export & Portability

You have the right to access and export your data from the Platform:

Project Downloads: You can download your designs and generated images directly from the platform at any time.
Data Export Requests: You may request a complete export of your account data, including project information, metadata, and associated content. Please contact us at support to request a data export.
Response Time: We will respond to data export requests within 30 days.

Children's Information

Another part of our priority is adding protection for children while using the internet. We encourage parents and guardians to observe, participate in, and/or monitor and guide their online activity.

The Licensor does not knowingly collect any Personal Identifiable Information from children under the age of 13. If you think that your child provided this kind of information on our website, we strongly encourage you to contact us immediately and we will do our best efforts to promptly remove such information from our records.
